Company planning worksheet for Panama
Corporate law and company formation in Panama
We support entrepreneurs and companies with the formation of Panamanian corporations and other business entities, corporate documentation, and related legal matters. Panama is a common jurisdiction for international business structuring, and getting the corporate paperwork right from the start avoids problems later.
How we can help
- Formation of Panamanian corporations (sociedades anónimas) and other business entities.
- Preparation of corporate documents: bylaws, minutes, powers of attorney, and shareholder resolutions.
- General legal support for ongoing corporate matters and compliance.
If you are a foreign entrepreneur or investor setting up a company in Panama, we can also help you understand how your corporate structure interacts with your immigration status -- for example, whether it supports a residency application. See our residency and immigration services pages, or contact us to discuss your specific situation.

Prepare your consultation around your company's stage
Open the situation that matches your plans to prepare a more focused consultation. This guidance does not determine eligibility or replace a review of your file.
I am starting a business
Describe the activity, where it will operate and who is involved. Bring questions about management, contributions and decision-making. The choice of structure should reflect the actual business, not just the name of a company type.
The company already exists and I want its records in order
Prepare an inventory of corporate documents and recent actions. Explain whether you need a status review, changes to information or a return to operations. This defines the work without confusing a review with a new incorporation.
I need to coordinate RUC, business activity and ongoing administration
Identify registrations and procedures already completed and who follows them up. Use the related RUC and Notice of Operation guides to prepare specific questions; each procedure should be reviewed in light of the company's activity and status.
Separate initial costs from ongoing administration
Ask for a proposal distinguishing incorporation or a one-off amendment from recurring services and third-party expenses. Clarify what is included, what needs a separate engagement and who will coordinate subsequent obligations. Do not assume that incorporation covers all future business operations.
